Membership Terms and Conditions

These Membership Terms and Conditions (‘Terms’) apply in relation to the service we provide to you; namely membership of our organisation. These Terms are primarily intended for business to business transactions (i.e. where you are a business, or person acting for purposes relating to your trade, business, craft or profession, whether you are acting personally or through another person acting in the trader’s name or on the trader’s behalf). A dental nurse purchasing a Membership is acting in the course of their trade, business, craft or profession. However, these Terms also cover consumers who are purchasing ‘Student E-Memberships’ or ‘Retired Associate Memberships’. If you are not a business or acting for purposes relating to your trade, business, craft or profession AND you are not purchasing a ‘Student E-Membership’ or a ‘Retired Associate Membership’, please contact us on 01253 338 360.

These Terms apply to any contracts we enter into with you to the exclusion of any other terms that you may seek to impose or incorporate, or which are implied by trade, custom, practice or course of dealing.

1.1 Definitions

The following definitions apply to these Terms:

BADN: means the British Association of Dental Nurses.

Rewards: means the Membership benefits (“BADN Rewards”) listed on our Website as may be amended from time to time without notice.

Membership: means annual membership to BADN under the Membership Packages.

Membership Packages: means the different types of packages available for membership of BADN as detailed on our Website.

Website: means our website which can be found at www.badn.org.uk

When we use the words "writing" or "written" in these Terms, this includes emails.

1.2 Information about us and our Memberships

We are the British Association of Dental Nurses, an independent trade union. Our office is situated at Room 200,Hillhouse International Business Centre, Thornton Cleveleys, Lancashire FY5 4QD.

If we have to contact you we will do so by writing to you at the email or postal address you provide to us when you join BADN.

We have the right to revise and amend these Terms from time to time to reflect changes in our organisation, changes in technology, changes in payment methods, changes in relevant laws and regulatory requirements and changes in our system's capabilities. You will be subject to the Terms in force at the time when you register for Membership or, as relevant, when you renew your Membership.

1.3 Membership payment

The cost of Membership will vary depending on the type of Membership you choose and will be detailed on our Website. We will take payment for your Membership online, alternatively you can call us and we will process your payment over the phone. We accept Visa/Visa Debit and MasterCard.

Your Membership will not be activated until we have received payment in full.

All payments made through our Website are encrypted and secure. We do not share or keep your card details on our system after payment has been processed.

Once your Membership is activated, you will have access to the Rewards and member areas of our Website. We do not guarantee the availability of any Rewards.

It is possible that, despite our reasonable efforts, some of the Memberships on our Website may be incorrectly priced. If the correct price for a Membership is higher than the price stated on our Website, we will contact you as soon as possible to inform you of this error and we will give you the option of continuing to purchase the Membership at the correct price or cancelling your order. If it is lower we will apply the lower price to your order.

1.4 Membership renewals

Your Membership will be active for 12 months from the date of purchase.

Your Membership will not automatically renew. We will contact you one month prior to expiry of your Membership with a renewal quote and details of how to renew your Membership.

If you do not wish to renew your Membership, we will deactivate your Membership upon its expiry at which point your renewal quote will also expire. From this point on, you will still have access to your online account but you will not be able to access Rewards and you will not be able to access them until you re-purchase a Membership.

1.5 Personal Data

When you join BADN, you will need to provide us with your personal information, which will be handled in accordance with our Privacy Policy: https://www.badn.org.uk/Legal/Privacy-Policy.aspx.

1.6 Member Content

If you wish to submit content to our Website you must comply with our Website Terms of Use: https://www.badn.org.uk/Legal/Terms-of-Use.aspx.

1.7 Our contract with you

Our acceptance of your order for Membership will take place when we provide written confirmation, at which point a contract will come into existence between you and us.

If we are unable to accept your order for Membership, we will inform you of this and we will either not take payment from you or will refund your payment.

Your Membership will be active until it expires or is terminated for any reason.

1.8 Student E-Memberships and Retired Associate Memberships

If you have bought a ‘Student E-Membership’ or a ‘Retired Associate Membership’:

(a) you can ask us to resupply this Membership if it is not being provided with reasonable care and skill or get some money back as detailed in clause 1.9 if we cannot do this; and

(b) your Membership must be activated within a reasonable time.

1.9 Refunds and cancellation

Apart from as set out in this clause 1.9, we do not offer a right to cancel your Membership and Memberships are non-refundable.

If you have bought a ‘Student E-Membership’ or a ‘Retired Associate Membership’ then you may end your Membership for one of the reasons set out at (a) to (c) below. If you end your Membership for one of these reasons then the contract will end immediately and we will refund you in full for any portion of the Membership period remaining and you may also be entitled to compensation. The reasons are:

(a) there is a risk that activation of the Membership may be significantly delayed because of events outside our control;

(b) we have suspended access to the Members Area or other Benefits for technical reasons, or notify you we are going to suspend them for technical reasons, in each case for a period of more than 30 days; or

(c) you have a legal right to end the contract because of something we have done wrong.

If you have bought a ‘Student E-Membership’ or a ‘Retired Associate Membership’ then you also have 14 days after the day we email you to confirm activation of your Membership to cancel your Membership and receive a refund of your Membership fee. However, if you cancel after you have received a Benefit, you must pay us for the Benefits you have received up until the time you tell us that you have changed your mind.

1.10 Your right to make changes

If you wish to make a change to any Membership Package you have ordered please contact us. We will let you know if the change is possible. If it is possible we will let you know about any increase to the price or anything else which would be necessary as a result of your requested change and ask you to confirm whether you wish to go ahead with the change.

1.11 Our right to make changes

We may make changes to Membership Packages to reflect changes in relevant laws and regulatory requirements or to implement improvements.

1.12 Our liability to you

Nothing in these Terms limits any liability which cannot legally be limited, including liability for death or personal injury caused by negligence; fraud or fraudulent misrepresentation; breach of the terms implied by section 2 of the Supply of Goods and Services Act; and breach of clause 1.8.

Our total liability to you in respect of any services shall not exceed the amount paid by you for such services.

The following types of loss are wholly excluded: loss of profits; loss of sale or business; loss of agreements or contracts; loss of anticipated savings; loss of use or corruption of software, data or information; loss of or damage to goodwill; indirect or consequential loss.

Neither us nor you shall be in breach of these Terms nor liable for delay in performing, or failure to perform, any of our obligations under these Terms if such delay or failure result from events, circumstances or causes beyond our reasonable control.

1.13 Other Important Terms

These Terms apply to the order by you and supply of Memberships by us to you (Contract). They apply to the exclusion of any other terms that you seek to impose or incorporate, or which are implied by trade, custom, practice or course of dealing.

We may transfer our rights and obligations under these Terms to another organisation.

You may only transfer your rights or your obligations under these Terms to another person if we agree to this in writing.

This Contract is between you and us. No other person shall have any rights to enforce any of its terms.

If a court finds part of these Terms illegal, the rest will continue in force. Each of the paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

If we do not insist immediately that you do anything you are required to do under these Terms, or if we delay in taking steps against you in respect of your breaking these Terms, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date. For example, if you do not pay us and we do not chase you but we continue to provide you with Membership, we can still require you to make the payment at a later date.

These Terms are governed by English law and you can bring legal proceedings in respect of the services in the English courts.
